These Terms of Service (“Terms”) govern your access to and use of the Website and Services provided by SyncLotus Ltd.(“Company,” “we,” “us,” “our”).

By accessing or using our Website or Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Services

We provide marketing automation and customer communication tools and services, including but not limited to:

• Review request automation

• Missed-call text-back

• Web chat and messaging

• Reputation management tools

• CRM and follow-up workflows

• Reporting dashboards

We may modify, update, or discontinue features at any time.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use our Services.

3. Account Registration

To access certain Services, you may need an account. You agree to:

• Provide accurate and complete information

• Keep your login credentials confidential

• Accept responsibility for all activities under your account

4. Fees, Billing & Subscriptions

If you purchase a subscription or paid plan:

• Fees are billed in advance on a recurring basis (monthly/annually) unless stated otherwise

• You authorize us (or our payment processor) to charge your payment method

• Failure to pay may result in suspension or termination of access

• Setup fees (if any) are non-refundable unless required by law

Refunds

Unless explicitly stated, payments are non-refundable, including for partial months, unused services, or cancellation mid-cycle.

5. Free Trials & Promotions

If offered, trials may require a valid payment method. Trial access may end automatically at the end of the trial period unless you cancel according to the trial instructions.

6. Client Data & Compliance (Important)

If you upload customer data or message customers using our system, you represent and warrant that:

• You have obtained all necessary consents and permissions

• You will comply with all applicable laws (including CASL, PIPEDA, TCPA where applicable, and carrier policies)

• You will not send illegal, deceptive, or unsolicited messages

You are solely responsible for the content of messages you send and for how you use the Services.

7. Prohibited Use

You may not use the Services to:

• Send spam, harassment, or unsolicited bulk messages

• Violate privacy or marketing laws

• Distribute malware or harmful content

• Collect or process data unlawfully

• Impersonate others or misrepresent your identity

• Engage in any activity that disrupts or harms the Services

We may suspend or terminate accounts violating these rules.

8. Intellectual Property

All content, software, trademarks, designs, workflows, templates, and materials provided by us are owned by or licensed to the Company and are protected by intellectual property laws.

You may not copy, resell, reverse engineer, or redistribute our materials without written permission.

9. Service Availability & Third-Party Providers

We strive for reliable service, but we do not guarantee uninterrupted availability. The Services may depend on third-party providers (SMS carriers, email providers, GoHighLevel, etc.). Delays, outages, or limitations from third-party services are outside our control.

10. No Guarantee of Results

We do not guarantee specific outcomes, including:

• Number of reviews generated

• Revenue increases

• Ranking improvements on Google

• Lead volume or conversion rates

Your results depend on many factors, including your business operations, customer experience, market conditions, and implementation.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided “as is” and “as available.”

• We are not liable for indirect, incidental, special, consequential, or punitive damages.

• Our total liability for any claim is limited to the amount paid by you to us in the last 30 days, or $100 CAD, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, and employees from claims, damages, losses, and expenses arising from:

• Your use of the Services

• Your messaging or marketing activities

• Your violation of laws or third-party rights

• Your content or Client Data

13. Termination

You may cancel your subscription per your billing settings.

We may suspend or terminate your access:

• If you violate these Terms

• For non-payment

• If required to comply with law

• If your use risks harm to the Company, platform reputation, or deliverability

Upon termination, access may be revoked immediately and data may be deleted per our retention policy.

14. Confidentiality

Any non-public business information exchanged between you and the Company (pricing, methods, workflows, internal operations) must be kept confidential and not disclosed without permission.

15. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. Any dispute shall be brought in the courts located in Ontario.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
